Terms and Conditions
The terms and conditions we utilise will depend upon if you are a client, a sub-contractor, an agent or have some other relationship with us. However, there are some common principles that underpin all terms and conditions and these are shown below:
1. We aim to communicate clearly and concisely with anyone we work with. If communication is unclear we welcome the opportunity to clarify. We expect that clients, agents etc. reciprocate this approach.
2. At all times, we shall act professionally and expect others to act in a similar manner.
3. In the event of any dispute, we aim to resolve the matter as quickly and appropriately as possible. Should resolution fail, we will reflect on all known factors and take action the company feels appropriate.
4. Where changes are needed, as long as there is justifiable cause we will work as co-operatively as possible. Additional costs caused by variation including unforeseen circumstances may be charged by us to the client at the organisations discretion.
5. Documentation will be maintained as required by us. In the case of E.U., other national government or other body financially supporting an organisation this may include clients providing evidence of their legal status, number of employees and annual turnover. Documents we maintain may be stored for up to 7 (seven) years in order to comply with U.K. rules and regulations on tax and related measures. We will not keep data that is not needed.
6. Cancellation of our services and products may incur a fee. This may amount to 100% of the invoice submitted including VAT at the prevailing rate.
7. General matters:
7.1 We will not be liable for any failure in the performance of any contract when the failure is caused by factors outside our control.
7.2 Any waiver of any breach of, or default under, any of the terms of this Agreement by the Company shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of this Agreement.
7.3 No acceptance, variation or termination of any agreement will be effective unless in writing.
7.4 If any provision or part of any provision of this Agreement is found by a Court or other competent authority to be void or unenforceable, such provision or part of a provision shall be deleted from this Agreement and the remaining provisions or parts of the provision shall continue to full force and effect.
7.5 This agreement shall be governed and construed in all respects in accordance with English Law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
